Terms and Conditions
We put together Terms & Conditions for using Glasswise so you know how we handle legal things when you use our products.
Version: 12 October 2026
These Terms govern the use of Glasswise by customers of Essential Code GmbH, Glücksallee 8/Top 1, 3012 Wolfsgraben, Austria, company number FN 605928x, registered with the Regional Court of St. Pölten, referred to as “Essential Code”, “we” or “us”.
1. Business customers and contract
1.1 Glasswise is offered exclusively to businesses acting in the course of their trade or profession. Consumers may not enter into a contract. By ordering, the customer confirms its business status. A business confirmation is required at checkout.
1.2 The contract consists of the order, the service description shown at checkout, these Terms and, where Essential Code processes personal data for the customer, the Data Processing Agreement. In case of conflict, the order takes precedence, followed by the Data Processing Agreement for processing matters, then these Terms.
1.3 The contract is formed when Essential Code accepts the order or activates the paid service. Essential Code may reject an order for objective reasons.
2. Service
2.1 Glasswise provides software for digital wine labels, QR codes, GS1 Digital Links and related functions described in the selected plan. The customer receives a limited, non-exclusive, non-transferable right to use the service during the contract term.
2.2 Essential Code may maintain and improve the service. Temporary interruptions may occur due to maintenance, security work, failures of suppliers or events outside reasonable control. Essential Code will take reasonable steps to restore the service.
2.3 Features, quantities and support included in the contract are those shown at checkout. Third-party services may be subject to their own terms.
3. Accounts and permitted use
3.1 The customer must provide correct business and contact information, keep credentials secure and restrict access to authorised users. The customer is responsible for activity under its accounts unless caused by Essential Code.
3.2 The customer must not interfere with security, access the service without authorisation, reverse engineer it except where mandatory law permits, resell access without written agreement, or use it for unlawful, harmful or infringing content.
3.3 Essential Code may restrict or remove unlawful content and suspend access where reasonably necessary to protect the service, third parties or legal compliance. Where practicable, Essential Code will explain the reason and allow the customer to remedy the issue.
4. Customer content and label responsibility
4.1 The customer retains its rights in content it submits. It grants Essential Code and its sub-processors the rights needed to host, reproduce, format, publish and transmit that content solely to provide the service.
4.2 The customer is responsible for the accuracy, completeness, rights and legal compliance of product and label information, including ingredients, allergens, nutrition values, alcohol content, origin and operator details. Glasswise supplies tools, not legal advice, and does not verify a physical product or approve a label.
4.3 The customer must have all rights and legal bases needed for content and personal data it provides. It will reasonably assist Essential Code with claims caused by a culpable breach of this clause.
5. Fees, billing and payment
5.1 The plan, scope, price and billing interval are those shown at checkout. Prices are in euros and exclude VAT unless expressly stated otherwise. Fees are due in advance for the billing interval shown at checkout.
5.2 The subscription renews for the same billing interval unless cancelled before renewal. Cancellation takes effect at the end of the paid interval. Fees already paid are not refundable except where these Terms, the order or mandatory law provide otherwise.
5.3 Paddle acts as merchant of record for the purchase and handles payment, invoicing and applicable transaction taxes. The Paddle entity is identified on the invoice. The agreement for use of Glasswise remains with Essential Code.
5.4 If a free trial is offered, its duration, scope and any conversion to a paid subscription are shown before it begins. No payment is collected without a valid order. A stated refund promise applies according to the conditions shown at checkout.
5.5 Essential Code may change prices for future renewal periods by giving at least 30 days’ notice. The customer may cancel before the new price takes effect.
6. Data protection
6.1 Each party complies with applicable data-protection law. Essential Code’s processing for its own purposes is described in the Privacy Notice.
6.2 Where Essential Code processes personal data on the customer’s behalf, the Data Processing Agreement, including its annexes and current sub-processor list, is incorporated into the contract by reference and prevails for that processing.
6.3 The customer is normally the controller for personal data it manages through Glasswise or has processed through its e-labels. The customer is responsible for its notices, legal bases and instructions.
7. Export, switching and termination under the Data Act
7.1 The customer may request a switch to another provider, export or deletion with no more than two months’ notice. The transition period is normally no longer than 30 calendar days. If this is technically unfeasible, Essential Code will explain the reason within 14 working days of the request and state an alternative period no longer than seven months. The customer may extend the transition period once for a period it considers appropriate.
7.2 During the transition and for at least 30 calendar days afterwards, Essential Code will make the customer’s exportable data and digital assets available in a commonly used, machine-readable format. These include available account and organisation data, customer-provided product and wine data, label content, files, QR and link configuration, and available usage data. Essential Code software, trade secrets, third-party data and data that must be retained or withheld by law are excluded.
7.3 Essential Code will provide reasonable switching assistance, maintain service continuity and security during the transition, and notify the customer when the contract terminates. After the retrieval period, data is deleted in accordance with the Data Processing Agreement, subject to legal retention duties.
7.4 Until 11 January 2027, any switching charge is limited to directly incurred switching costs. From 12 January 2027, no switching charge applies. Ordinary service fees and lawful early-termination amounts are separate.
8. Term and termination
8.1 The contract runs for the billing interval shown at checkout and renews under clause 5.2. Either party may terminate for material breach if the breach is not remedied within a reasonable written cure period. No cure period is required where the breach cannot be remedied or continued service would be unlawful or materially unsafe.
8.2 Essential Code may suspend affected access while a material security risk, unlawful use or overdue undisputed payment continues. Suspension must be proportionate.
8.3 Rights accrued before termination survive. Clauses concerning payment, intellectual property, confidentiality, data return, liability and governing law continue as needed.
9. Intellectual property and feedback
9.1 Essential Code and its licensors retain all rights in Glasswise, its software, designs and documentation. No ownership is transferred.
9.2 Essential Code may use feedback without restriction, provided it does not disclose confidential information or identify the customer publicly without permission.
10. Confidentiality
Each party will protect the other party’s non-public business, technical and commercial information, use it only for the contract and disclose it only to people who need it and are bound by confidentiality. This does not cover information that is public without breach, lawfully known, independently developed or lawfully received from another source.
11. Warranty and liability
11.1 Essential Code will provide the service with reasonable care. Except for express commitments, no guarantee is given that the service will be uninterrupted or suitable for every customer purpose.
11.2 Essential Code is not liable for damage caused by slight negligence, except for personal injury or where mandatory law provides otherwise. Where liability for slight negligence cannot be excluded, total liability is limited to the net fees paid by the customer in the twelve months before the event causing the damage.
11.3 The exclusion and cap do not apply to intent, gross negligence, personal injury, liability under Article 82 GDPR, or any liability that cannot lawfully be limited. Liability for lost profit, consequential loss, business interruption and third-party claims is excluded to the extent permitted by law. For data loss caused by slight negligence, liability is limited to reasonable restoration costs where the customer maintained appropriate copies.
12. Changes to the service and these Terms
12.1 Essential Code may make reasonable service changes for security, legal compliance, technical development or supplier changes, provided the core contracted use is not materially reduced without an appropriate remedy.
12.2 Material changes to these Terms require an objective reason, do not apply retroactively and will be notified in text form at least 30 days before they take effect. If a change materially disadvantages the customer, the customer may terminate before it takes effect without a charge for the remaining future period.
13. Notices and assignment
13.1 Contract notices may be sent to the account email or through the service. The customer must keep its contact details current.
13.2 The customer may assign the contract only with Essential Code’s prior consent, which will not be unreasonably withheld. Essential Code may assign it as part of a restructuring or transfer of the relevant business if this does not materially reduce the customer’s rights.
14. Governing law and final provisions
14.1 Austrian law applies, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
14.2 To the extent permitted by law, the court with subject-matter jurisdiction in St. Pölten, Austria, has exclusive jurisdiction.
14.3 If a provision is invalid, the remaining provisions remain effective. The parties will replace it with a valid provision that most closely reflects its lawful commercial purpose. Failure to enforce a right is not a waiver.
